One row per decision. A percentage of the shares is not the whole map.
Control is rarely one clause. Shares, a board vote, the power to appoint or remove a director, a class vote, an individual investor consent, day-to-day management authority, the bank mandate, and an admin login can sit in different documents and name different people.
The worksheet on the term-sheet guide records, for each of those decisions, who decides, who can block, which document, and when it changes. Beside that row, write the threshold, who holds the right, when it expires, and who you go to if you disagree. Fill it from the documents. An indexed social post about vetoes was not used as authority. The mechanism is the one in the Cooley term-sheet note: protective provisions and investor consents are worth reading before you argue about the rest.
Question. Which approvals come from shareholder votes, board votes, class rights, and individual investor consent, and when do they end?
